ProSkills IT &amp; Training Services<\/p><p>requires that all employees comply with all applicable laws, regulations, and this Code.<\/p><p>All employees of ProSkills must also make sure that all our business partners, resellers,<\/p><p>customers are aware of our Code of Ethics and Business Conduct.\u00a0<\/p><p>Compliance with laws, regulations, and business practices means not only observing the<\/p><p>law, but also conducting corporate business in a way that recognizes our ethical<\/p><p>responsibilities and fulfills them.<\/p><p><strong>\u00a0<\/strong><\/p><h4><strong>Anti-trust and Competition Laws<\/strong><\/h4><p>We are committed to observing the applicable antitrust or competition laws<\/p><p>of all countries we have operations in. We, at ProSkills realize that those laws seek to<\/p><p>protect the competitive process so that consumers receive the benefits of competition.<\/p><p>Compliance with antitrust or competition laws is required at all times.<\/p><p>Therefore, ProSkills employee must not agree with any competitors to (i) fix or control<\/p><p>prices, either by agreeing directly with a competitor or any other method, such as<\/p><p>through third parties; (ii) structure or orchestrate bids to direct a contract<\/p><p>to a certain competitor or reseller (bid rigging), including abstaining from<\/p><p>bids or submitting noncompetitive or \u201ccourtesy\u201d bids; (iii) boycott suppliers<\/p><p>or customers; (iv) divide or allocate markets or customers; or (v) limit the<\/p><p>production or sale of products or product lines. We refrain from<\/p><p>prohibited discussions with competitors about prices, costs, profits or profit margins,<\/p><p>production volumes or bids, or quotes for a specific customer\u2019s business.<\/p><h4><strong>Improper Payments, Money Laundering, and Economic Boycotts<\/strong><\/h4><p>ProSkills cannot offer or pay bribes. ProSkills employees are prohibited from offering,<\/p><p>promising, authorizing, directing, paying, making, or receiving any bribes, kickbacks, or<\/p><p>payments of money or anything of value (directly or indirectly) to improperly obtain<\/p><p>business or any other advantage for ProSkills its employees.<\/p><p>ProSkills also prohibits all forms of money laundering, which involves disguising, \u00a0<\/p><p>channeling unlawfully obtained money, or transforming such money into legitimate<\/p><p>funds.<\/p><p>The above prohibition applies to:<\/p><ul><li>Government and public sector, which includes public utilities, higher education, public healthcare entities, and public international organizations and their employees or officials<\/li><li>Political parties or candidates for political office<\/li><li>Business entities partially or wholly owned or controlled by government interests (often referred to as state-owned enterprises) and their employees or officials<\/li><li>Privately held commercial companies and their employees<\/li><li>Vendors\u2019 (such as Oracle) employees<\/li><li>Any other third party<\/li><\/ul><p>We at ProSkills prohibit giving money or anything of value directly or indirectly to a<\/p><p>government official or employee of a state-owned enterprise, or to the spouse,<\/p><p>significant other, child, or other relative of any such person, for the purpose<\/p><p>of influencing or rewarding an action or decision of the government or public<\/p><p>sector employee or official or to gain any improper advantage for ProSkills.<\/p><p>\u201cAnything of value\u201d is intended to be broad and covers not only money,<\/p><p>but also gifts, lavish or excessive entertainment, funding of personal travel<\/p><p>such as sightseeing, contributions to charity, and employment opportunities.<\/p><p>ProSkills also prohibits facilitation or facilitating payments, which are payments<\/p><p>to an official to speed up or expedite routine government actions, including<\/p><p>processing and approving applications and permits.<\/p><p><strong>Dealing with Government<\/strong><\/p><p>We strictly observe the laws, rules, and regulations that govern the acquisition of goods<\/p><p>and services by any governmental entity of any country and the performance of<\/p><p>government contracts.<\/p><p>If we deal with any governmental entity, including public international organizations,<\/p><p>we make sure to know and comply with all rules that apply to government contracting<\/p><p>and interactions with government or public sector employees and officials, including<\/p><p>but not limited to the following:<\/p><ul><li>We must not attempt to obtain, directly or indirectly, from any source,<\/li><\/ul><p>procurement-sensitive information that is not publicly available or otherwise authorized<\/p><p>for disclosure by the government; confidential internal government information, such as<\/p><p>pre-award, source selection information; or any proprietary information of a competitor,<\/p><p>including, for example, bid or proposal information, during the course of a procurement<\/p><p>or in any other circumstances where there is reason to believe that the release of such<\/p><p>information is unauthorized.<\/p><ul><li>We must ensure the submission of accurate invoices to the government<\/li><\/ul><p>and comply with all laws regarding invoicing and payments.<\/p><ul><li>We must not give or offer, either directly or indirectly, any gratuity,<\/li><\/ul><p>gift, favor, entertainment, loan, or anything of monetary value to any<\/p><p>government or public sector employee or official except as may be<\/p><p>permitted by applicable law.<\/p><ul><li>We must not provide, attempt to provide, offer, or solicit a kickback,<\/li><\/ul><p>directly or indirectly, to obtain or reward favorable treatment in connection<\/p><p>with any transaction.<\/p><ul><li>We must not pay or enter any agreement to pay, directly or indirectly, a<\/li><\/ul><p>contingent fee to any party for the purposes of obtaining a government<\/p><p>contract or influencing government action.<\/p><p><strong>Lobbying of Government Officials<\/strong><\/p><p>All ProSkills employee are responsible for understanding when their activities may<\/p><p>legally be considered lobbying in a particular jurisdiction and for complying with all<\/p><p>applicable laws.<\/p><p><strong>Business Courtesies that May Be Extended<\/strong><\/p><p>All ProSkills employees use discretion and care to ensure that expenditures on<\/p><p>customers, or representatives are reasonable, ordinary, and proper. They also ensure<\/p><p>that expenditures could not reasonably be construed as a bribe or an improper<\/p><p>attempt to secure unfair preferential treatment or violate applicable laws and<\/p><p>regulations.<\/p><h4><strong>Business Courtesies that May Be Received<\/strong><\/h4><p>All ProSkills employees are responsible for ensuring that acceptance of any business<\/p><p>courtesies, gifts, or entertainment is proper and could not reasonably be construed as<\/p><p>an attempt by the offering party to secure favorable treatment or otherwise violate<\/p><p>applicable laws and regulations.<\/p><h4><strong>Financial Integrity<\/strong><\/h4><p>ProSkills accurately documents all transactions related to our contract with<\/p><p>our vendors (such as Oracle) and relevant order forms in our financial books, records,<\/p><p>statements and reports, and other documents provided to the vendors and prevent<\/p><p>side agreements, whether oral or written. The handling and disbursement of funds<\/p><p>related to the vendors\u2019 business transactions must be pursuant to a duly authorized<\/p><p>written contract (or via email) with clearly defined procedures. Documents must not<\/p><p>be inappropriately altered or signed by those lacking proper authority. No<\/p><p>undisclosed or unrecorded fund or asset related to any transaction may<\/p><p>be established or maintained for any purpose.<\/p><p>Our financial books, records, and statements properly document all assets and liabilities<\/p><p>and accurately reflect all transactions of the company related to the vendors\u2019 products<\/p><p>and services. Our business records are retained in accordance with record retention<\/p><p>policies and all applicable laws and regulations. We establish and maintain internal<\/p><p>financial and other controls that ensure our transactions are executed and our \u00a0<\/p><p>expenditures are in accordance with the appropriate authorization(s), and that we<\/p><p>spend money responsibly and appropriately.<\/p><p>All approval requests for nonstandard discounts must be accurate and commercially<\/p><p>justified. Any approved discount or benefit are used only for the purpose disclosed and<\/p><p>authorized. Structuring a transaction to create additional margin which will be used for<\/p><p>any undisclosed or unapproved purpose is never allowed, including paying or \u00a0<\/p><p>otherwise rewarding a customer, employee, or other third party.<\/p><h4><strong>Intellectual Property and Obligations of Confidentiality<\/strong><\/h4><p>ProSkills respects the intellectual property rights of others<\/p><p>The vendors\u2019 intellectual property, confidential information, patented technology,<\/p><p>documentation, or other materials must not be used without written permission or<\/p><p>outside the scope of work performed for the vendor.<\/p><p>Additionally, copyrighted software is not reproduced at ProSkills. In the course of<\/p><p>working with or for the vendor (such as Oracle), we do not use proprietary information,<\/p><p>patented technology or copyrighted software, documentation, or other materials of<\/p><p>third parties without authorization.<\/p><p>We observe applicable data privacy standards. Materials that contain confidential<\/p><p>information or that are protected by privacy standards should be stored securely and<\/p><p>shared only internally with employees on a need-to-know basis.<\/p><p>Confidential information may include, but is not limited to: source code, software<\/p><p>and other inventions or developments (regardless of the stage of development)<\/p><p>created or licensed by or for the vendor, marketing and sales plans, competitive<\/p><p>analyses, product development plans, nonpublic pricing, potential contracts<\/p><p>or acquisitions, business and financial plans or forecasts, internal business<\/p><p>processes and practices, and prospect, customer, and employee information.<\/p><h4><strong>Trade Compliance Laws and Regulations<\/strong><\/h4><p>ProSkills complies fully with all applicable global trade laws and regulations.<\/p><h4><strong>Conflicts of Interest<\/strong><\/h4><p>ProSkills\u2019 loyalty is free from any conflicts of interests. \u00a0<\/p><h4><strong>Contracting<\/strong><\/h4><p>ProSkills and its employees are keen to compete fairly and ethically for<\/p><p>all business opportunities. We ensure that all statements, communications, and<\/p><p>representations to customers are accurate and truthful as they relate to the vendors.<\/p><h4><strong>Advertising and Marketing<\/strong><\/h4><p>We prohibit unfair methods of competition and deceptive practices.<\/p><p>Examples of these include making false or misleading statements about the offered<\/p><p>products or services, falsely disparaging a competitor or its products or services, making<\/p><p>product or service claims without facts to substantiate them, or using another<\/p><p>company\u2019s trademarks in a way that confuses the customer as to the source of the<\/p><p>product or service.<\/p><h4><strong>Business and Employment Relationships<\/strong><\/h4><p>ProSkills affirms the principle of equal employment and business opportunities<\/p><p>without regard to any protected characteristic, including but not limited to:<\/p><p>race, religious creed, national origin, color, sex or gender, gender identity or<\/p><p>expression, age, mental or physical disability, mental condition, pregnancy,<\/p><p>marital status, national origin\/ancestry, genetic information, political affiliation,<\/p><p>military and protected veteran status, sexual orientation, or any other<\/p><p>characteristic protected under federal or state law or local ordinance. ProSkills policy<\/p><p>prohibits harassment in any form and we practice and promote a work environment<\/p><p>free from harassment, as appropriate under local laws.<\/p><h4><strong>Human Rights of Workers<\/strong><\/h4><p>ProSkills upholds the human rights of workers and to treat them with dignity and respect.<\/p><p>Compliance with fair labor and antislavery practices that allow for freely chosen<\/p><p>employment is assured, which includes the prohibition of child labor, human trafficking,<\/p><p>and slavery. Additionally, the adherence to applicable wage and labor laws an<\/p><p>standards is also assured.<\/p><p>Physical abuse, sexual or other harassment, and discrimination on the basis<\/p><p>of race, religious creed, caste, national origin\/ancestry, genetic information,<\/p><p>military and protected veteran status, religion, age, disability, gender, gender<\/p><p>identity or expression, pregnancy, marital status, sexual orientation, union<\/p><p>membership, political affiliation, or any other characteristic protected under<\/p><p>applicable law or local ordinance is strictly prohibited at ProSkills.<\/p><h4><strong>Environment, Health, and Safety<\/strong><\/h4><p>ProSkills recognizes its social responsibility to protect the environment.<\/p><p>We make sure that we comply with all applicable environmental laws and regulations<\/p><p>and are expected to work to reduce consumption of resources, including raw<\/p><p>materials, energy, and water, throughout all aspects of the product or service lifecycle.<\/p><p>We encourage our employees to reduce or eliminate waste of all types by<\/p><p>implementing appropriate conservation measures in our facilities and by recycling, re-<\/p><p>using, or substituting materials.<\/p><p>Worker health, safety, and well-being are also important to ProSkills. We provide and<\/p><p>maintain a safe and healthy work environment and fully comply with all applicable<\/p><p>safety and health laws, regulations, and practices while also minimizing the<\/p><p>environmental burden of our operations and products on the environment.<\/p><p>Adequate steps are also taken to minimize the causes of hazards inherent in the<\/p><p>working environment, prevent workplace accidents and injuries, and promote safe and<\/p><p>healthy workplaces.<\/p><h4><strong>Duty to Cooperate<\/strong><\/h4><p>We are committed to cooperate with the vendors\u2019 (such as Oracle) periodic requests<\/p><p>for documents and\/or information made in connection with ProSkills onboarding and<\/p><p>due diligence processes.<\/p><p>Additionally, ProSkills is committed cooperate with any audit request made<\/p><p>by the vendor as required by the vendor\u2019s Partnership Agreement (e.g. Oracle<\/p><p>PartnerNetwork Agreement) or any Distribution Agreement.<\/p>\t\t\t\t\t\t<\/div>\n\t\t\t\t<\/div>\n\t\t\t\t\t<\/div>\n\t\t<\/div>\n\t\t\t\t\t\t\t<\/div>\n\t\t<\/section>\n\t\t\t\t\t\t\t<\/div>","protected":false},"excerpt":{"rendered":"<p>Code of Ethics and Business Conduct \u00a0 Introduction This Code of Ethics and Business Conduct (\u201cCode\u201d) is applicable to all employees of ProSkills, regardless of where they are doing business.
